RIGHTS UNDER LICENSE AGREEMENT- LICENSEE
This assignment has been made on [date of assignment], by [Name of assignor], a corporation organized under the laws of the State of [State of assignor], with headquarters located at [address of assignor], referred to as assignor, to [Name of assignee], a corporation organized under the laws of the State of [State of assignee], with headquarters located at [address of assignee], referred to as assignee.
RECITALS
1. On [initial date of agreement], the assignor entered into an agreement with [Name of licensor], a corporation organized under the laws of the State of [State of licensor], with headquarters located at [address of licensor], referred to as licensor, under the terms of which the assignor received a license to United States Patent No. [Patent Number], issued [date patent was issued], for an invention known as [Name of the invention] and described as follows: [Description of the invention].
2. The assignor reserves the right to assign its rights under the agreement provided the consent of licensor is first obtained.
ASSIGNMENT
For value received of $[Amount received from assignee] received from assignee, acknowledgment of which is hereby made, the assignor assigns all of their rights, title, and interest in the above-mentioned agreement. The assignee will have the privileges under the agreement as fully as the same would have been enjoyed by assignor if this assignment had not been made.
